Delhi is also the one city where the compliance map itself moved recently. MCA split the old joint Delhi-Haryana Registrar of Companies into three separate offices in February 2026, and if your business also touches Gurugram or Noida, you are now dealing with three different RoCs and three different sets of state-level schemes, not one — a distinction that trips up more founders here than anything about Delhi itself.

Which Registrar of Companies covers Delhi

Registrar of Companies, NCT of Delhi-I and NCT of Delhi-II. Since 16 February 2026, Delhi no longer has one Registrar of Companies. MCA split the old combined Delhi-Haryana office into three: RoC NCT of Delhi-I, headquartered in South Delhi, covers South Delhi, South-West Delhi, New Delhi, South-East Delhi and East Delhi; RoC NCT of Delhi-II, headquartered in Central Delhi, covers Central Delhi, West Delhi, North Delhi, North-West Delhi, North-East Delhi and Shahdara; and Haryana — previously bundled into the same Delhi office — now has its own registrar entirely, at Chandigarh. Which office a Delhi company files with depends on the district its registered office sits in, not on where the founders actually work from, and moving the registered office across that internal boundary now counts as an inter-RoC transfer needing Regional Director approval on Form INC-23, which was not true before. What is specific to Delhi

  • Gurugram is Haryana, not Delhi. A company registered there files with RoC Haryana in Chandigarh, carries a Haryana CIN, and can apply for Haryana-specific state incentives, not Delhi ones. Noida is Uttar Pradesh: it files with RoC Uttar Pradesh-II, which — after the same February 2026 restructuring — sits in Noida itself rather than in Kanpur or Lucknow, and falls under UP state schemes instead. Three cities in one conurbation, three different regulators, three different scheme lists: treating "NCR" as a single jurisdiction is the mistake we see most often here.
  • Delhi got its own state-level start-up support only recently: the Delhi government approved a Start-up and Incubation Policy on 17 July 2026, with a stated five-year outlay of over ₹400 crore. It is still in its opening phase — the first money is going into setting up incubation centres at 11 state universities and a run of government-aided colleges, polytechnics and ITIs, with milestone-based support for the startups that come out of those centres promised at a later stage. It is not yet something a Delhi founder can apply to directly, and we will update this page once that changes.

  • Delhi-NCR's startup base leans towards enterprise SaaS, edtech, D2C and govtech, with a natural concentration of policy-facing and government-adjacent startups given the number of central ministries and regulators based in the city. IIT Delhi's FITT (Foundation for Innovation and Technology Transfer) incubator is the one founders here most often mention when they come to us for cap table or term sheet review ahead of a raise.

How we work with companies in Delhi

We do not have an office in Delhi. Work happens over email, WhatsApp and calls, with filings made electronically — the MCA, GST and income-tax portals are national, so physical proximity changes nothing about how a filing is made or how quickly it clears. What goes wrong for businesses in Delhi

Three failures we see often enough here to plan around. Each one links to the source it came from, so you can check it rather than take our word for it.

  1. GST input credit reversed for a fraudulent supplier

    Delhi's CGST North Commissionerate flagged a shell firm, Ajay Trading Co., that took GST registration on 19 July 2019 and was cancelled for fraud within 24 hours, yet still passed ₹6.01 crore of fake input tax credit to more than 20 real businesses across Old Delhi, Model Town and Shahdara before it vanished. Every one of those buyers now faces recovery of the credit, interest, penalties and a physical verification, even though they paid a genuine-looking invoice in good faith.

  2. GRAP shuts construction sites for weeks each winter

    Every winter, the Commission for Air Quality Management can trigger GRAP Stage III across the whole NCR, as it did on 12 November 2025, banning non-essential construction, demolition, stone crushing and mining outright, and barring older BS-3 petrol and BS-4 diesel vehicles from the roads. For a builder, a fit-out contractor or a logistics operator, that is weeks of site downtime with no fixed date, layered on top of whatever project delay was already in the plan.

  3. MCD seals shops and cafes without warning

    MCD's enforcement teams sealed shops, cafes and restaurants across Hauz Khas Village and the adjoining Saidulajab on 5 June 2026 for operating without a trade licence or in violation of building bylaws, in what are technically residential zones. That pattern repeats across South Delhi's retail and hospitality strips. A landlord's zoning status is not always visible to the tenant signing the lease, and it is the business that gets shut, not the building.

None of this gets solved by hoping the paperwork is fine. It depends on which district your registered office is in. Since MCA's February 2026 restructuring, South Delhi, South-West Delhi, New Delhi, South-East Delhi and East Delhi fall under RoC NCT of Delhi-I (headquartered in South Delhi); Central Delhi, West Delhi, North Delhi, North-West Delhi, North-East Delhi and Shahdara fall under RoC NCT of Delhi-II (headquartered in Central Delhi). Before that date, all of Delhi filed with a single combined office.

No. Gurugram is in Haryana and files with RoC Haryana in Chandigarh, under Haryana's own state schemes.
